This Roche Diagnostics U.S. Data Privacy Notice (“Notice”) describes how Roche Diagnostics Corporation, Roche Diabetes Care, Inc., Roche Diagnostics Solutions, Roche Information Solutions, Roche Molecular Systems, Inc., Roche Sequencing Solutions, Inc., Ventana Medical Systems, Inc., and GenMark Diagnostics, Inc., (collectively “Roche,” “we,” “our,” or “us”), recognizes and respects the privacy rights of consumers, patients, caregivers, healthcare providers, and business contacts (“you,” “your”) when we collect, use, disclose and store your Personal Data or when you interact with our Products and Services.

This Notice applies to Personal Data we collect from or about United States residents through our websites that link to this Notice, through our mobile applications, when we provide our Products and Services to you, and when you otherwise interact with us whether online or offline (collectively, the “Products and Services”).

We may provide you with a different privacy notice in certain specific situations, in which case that privacy notice will apply to the Personal Data collected or processed in that specific situation, rather than this one. For example, if you are a participant in a clinical study, clinical trial, or other regulated health-related research, you should receive a separate privacy notice regarding the Personal Data we process for those purposes. That privacy notice—and not this Notice—governs our processing of such Personal Data. If you provide us with Personal Data of anyone other than yourself (such as a patient or family member), please note that you are responsible for complying with all applicable privacy and data protection laws prior to providing that information to Roche (including obtaining consent, if required).

If you are a patient, please also note that this Notice is distinct from your healthcare provider’s HIPAA Notice of Privacy Practices, which describes how your healthcare provider uses and discloses individually identifiable information about your health that it collects, as well as any other privacy practices it applies. Roche collects, uses, and discloses any Personal Data it receives from your healthcare provider in accordance with its HIPAA-required agreements or with authorizations from your healthcare provider.

By using our Products and Services, you acknowledge and agree that your Personal Data will be used as set forth in this Notice and agree to our Terms of Use. If you do not agree to the terms of this Notice or our Terms of Use, please do not use our Products and Services.

Personal Data We Collect

We may collect the following categories of Personal Data about you:

Contact Information and Identifiers, such as name, alias, titles, postal address, unique personal identifier, NPI Number, device ID, company ID number, system identifiers (such as user name or online credentials), service request ID number, online identifiers, Internet Protocol address, device identifiers, email address, account name, signatures, physical characteristics or description, telephone number, or other similar identifiers.
Financial Information, such as bank account number, credit card number, debit card number, or any other financial information that does not allow access or withdrawal of funds.
Insurance Information, such as insurance policy number or health insurance information such as health insurance carrier, account numbers, beneficiary information, policy number, benefits data, reimbursement and co-pay data, and claims history.
Characteristics of Protected Classifications under state or federal law, such as age, gender, and marital status.
Commercial Information, such as records of personal property, products or services purchased, obtained, or considered, records of program enrollment and activity, hobbies and interests, or other purchasing or consuming histories or tendencies.
Biometric Information, such as imagery of the iris, retina, fingerprint, face, hand, palm, vein patterns, voice recordings, gait patterns, or rhythms, and sleep, health, or exercise data from which we can extract identifying information.
Internet or Other Network Information, such as browsing history, browser information, web server and application logs, search history, viewing data (including site and app usages), internet service provider, referring/existing URL, clickstream data, and information regarding your interactions with our websites or advertisements.
Geolocation Data, such as device location that is more granular than a city or town.
Audio, Electronic, Visual and Similar Information, such as photographs, and call and video recordings.
Professional or Employment-Related Information, such as your current or former employer, job title, specialty or practice area, information regarding professional activities and interests.
Inferences drawn from any of the Personal Data listed above to create a profile or summary about, for example, an individual’s preferences, characteristics, psychological trends, predispositions, behavior, attitudes, intelligence, abilities, and aptitudes. This category includes sensitive data inferences, which are inferences made by us based on Personal Data, alone or in combination with other data, to indicate your Sensitive Personal Data.
Sensitive Personal Data, including:
1. Personal Data that reveals your:
  1. Social security, driver’s license, state identification card, or passport number;
  2. Account log-in, financial account number, debit card number, or credit card number in combination with any required security or access code, password, or credentials for allowing access to an account;
  3. Precise geolocation that is used or intended to be used to locate you within a small geographic area (less than a radius of 1,850 feet);
  4. Racial or ethnic origin, religious or philosophical beliefs;
  5. Contents of your email and text messages, unless we are the intended recipient; or
  6. Genetic data.
2. Biometric data processed for the purpose of uniquely identifying you;
3. Personal Data collected and analyzed concerning your health, such as information about your physical or mental health, disease state, medical history, medical treatment or diagnosis and medicines taken or devices used; general disease or product interest; information on payment for healthcare services; health values and sensor readings data, such as steps taken, blood glucose levels, heart rate, and blood pressure; medical date appointments;
4. Personal Data collected and analyzed concerning your sex life or sexual orientation; and
5. Personal Data of consumers we know are less than 18 years old only if it is provided by and consented to by the minor’s parent(s), including minor’s names, age, product usage data, and health information.

Purposes for Which We Collect Personal Data

We may collect, process, disclose and store the categories of Personal Data we collect for the following purposes:

To enroll you in our programs or provide the information, products, and services you request;
To administer our relationship with you or your organization;
To design and improve our programs, products, and services;
To provide you with effective customer service;
To provide you with a personalized experience when you use our Products and Services;

To monitor, investigate, and enforce compliance with our policies, product/service terms and conditions, and legal and regulatory requirements;
For security, credit or fraud prevention purposes;
To exercise and defend our rights and the rights of others;
To comply with our obligations to investigate and report adverse events and product complaints;

For any other purpose identified in an applicable privacy notice, click-through agreement or other agreement between you and us.

We may combine any Personal Data we collect about you with any other information we maintain for the above purposes.

De-identification. We may also deidentify any Personal Data we collect about you. When we do so, we take reasonable measures to ensure that the information cannot be associated with an individual or household, and we maintain and use the information in deidentified form for our business purposes. We will not attempt to reidentify the information, except that we may attempt to reidentify the information solely for the purpose of determining whether our deidentification processes satisfy applicable legal requirements. After it has been deidentified, the information is no longer Personal Data and is not subject to this Notice.

Automated Technologies. Additionally, we may process Personal Data via use of automated technologies, including artificial intelligence, for the purposes listed above. To the extent permitted by applicable law, we may also use Personal Data we collect to train automated technologies we use for the above purposes.

How We Collect Personal Data

Directly from You. We collect information you provide to us when you use our Products and Services, devices, or when you otherwise interact with us. For example, we collect the information you provide when you contact us, sign up for a newsletter, make a purchase, post on our Products and Services, or otherwise interact with us for any other purpose.
From Healthcare Professionals, Insurance Companies, and Authorized Representatives. We may collect Personal Data from healthcare professionals and their staff, including specialty pharmacies; health insurance companies (health plans) and other payors; those authorized on your behalf such as authorized/legal representatives, family members, and caregivers; and third parties who provide benefit verification, program enrollment, and product fulfillment Products and Services.
From Vendors and Third Parties. We also collect Personal Data from our vendors and from third parties who disclose Personal Data to us.
From Industry Groups and Publicly Available Sources. We may collect Personal Data from industry and patient groups and associations (including conference and event organizers) and publicly available sources, including information provided on websites, social media platforms, public forums or platforms, and other third-party sources.
Via Cookies and Other Tracking Technologies. We collect Personal Data passively via cookies and other tracking technologies (“Cookies”). For example, we use Cookies to operate our website, analyze information about Users’ use of our websites, personalize your experience when they use our Products and Services, for analytics purposes, and for marketing purposes, including through use of targeted advertising. This typically includes information about our website visitors, such as your IP address, device identifiers, and internet or other network information. How We Disclose Personal Data

We may disclose the categories of Personal Data listed in the “Personal Data We Collect” section, above, in the following contexts:

To Our Affiliates. We may disclose your Personal Data with our corporate affiliated entities for a variety of purposes, including business, operational, and marketing purposes.
To Our Vendors. We disclose the Personal Data we collect to our vendors who act on our behalf. For example, we use vendors to operate our Products and Services, process payments, to help us with our promotional efforts, and to provide information technology and hosting services, processing and fulfillment services, customer support and communication services, consulting services, survey management services, fraud prevention, detection, and mitigation, legal and professional services, and similar services. These vendors may need Personal Data about you to perform their obligations. We impose contractual limitations on our vendors’ use of Personal Data they collect in conjunction with providing services to us.
To Health Care Professionals, Health Insurance Companies, and Authorized Representatives. We may disclose the Personal Data we collect to your healthcare professionals and providers (including specialty pharmacies and clinical investigators), health insurance company or health plan, and your authorized/legal representatives, family members, and caregivers at your direction, with your consent, or where permitted or required by applicable law.
To Third Parties for Benefits Verification. We may disclose the Personal Data we collect to third parties who provide benefit verification, program enrollment, and product fulfillment services in connection with our products and services, at your direction, with your consent, or where permitted or required by applicable law.
To Third Parties for Analytics, Advertising, and Marketing Purposes. We disclose Personal Data to third parties, including social media platforms, third party marketing and advertising and analytics providers, and our joint marketing partners for analytics, advertising, and marketing purposes. This includes disclosures of Personal Data via Cookies.
As Described in a Privacy Notice or With Your Consent. We may disclose Personal Data as described in any privacy notice we provide to you via our Products and Services, or with your consent if we obtain it from you in a particular context.
In Aggregate or De-Identified Form. We may aggregate or deidentify the Personal Data we collect, and we may disclose aggregated and/or deidentified information to our affiliates, vendors and to third parties for our business operational purposes and for any other purposes permitted by applicable law.

We may also disclose Personal Data in the following contexts:

As Part of a Business Transfer. We may use and disclose your Personal Data to facilitate a merger, consolidation, transfer of control or other corporate reorganization in which we participate, or pursuant to a financial arrangement undertaken by us and your Personal Data will be disclosed to the buyer, assignee, or transferee. Cookies and Other Tracking Technologies

We use Cookies on our Products and Services. These Cookies are provided by our vendors and by Third Party analytics and advertising and marketing providers, and we use them to facilitate the operation of our website, provide certain functionality, and conduct marketing and analytics. For instance, we use Google Analytics to help us understand how users engage with our Products and Services. Google Analytics may track your activity on our sites (i.e., the pages you have seen and the links you have clicked on) and helps us measure how you interact with the content that we provide. This information is used to compile reports and to help us improve our Products and Services. The reports we receive disclose website trends without identifying individual visitors. Our websites do not currently respond to the “Do Not Track” signal.

Your Choices

To opt out of our email marketing or to unsubscribe from our email newsletters, you can use the “unsubscribe” link provided at the bottom of each marketing message or newsletter. Please note that even if you choose to opt out, you will continue to receive some email communications related to our transaction(s) and relationship with you, such as purchase and shipping confirmations.

Children's Privacy

Roche does not collect Personal Data directly from minors under the age of 18, and our Products and Services are not directed to or targeted to minors under the age of 18. If we collect or process Personal Data about minors under the age of 18, we obtain parental consent for the collection and processing of such Personal Data, to the extent required by applicable law. If we discover that a minor under 18 has directly provided us with their Personal Data, we will take reasonable steps to promptly delete such information from our systems. Data Security and Data Retention

Data Security. Consistent with applicable laws and requirements, Roche has put in place physical, technical, and administrative safeguards designed to protect Personal Data from loss, misuse, alteration, theft, unauthorized access, and unauthorized disclosure consistent with legal obligations and industry practices. However, as is the case with all websites, applications, products, and services, we unfortunately are not able to guarantee security for data collected through our Products and Services. In addition, it is your responsibility to safeguard any passwords, ID numbers, or similar individual information associated with your use of the Products and Services.

Data Retention. We will retain your Personal Data for as long as needed or permitted to fulfill the purpose(s) for which it was collected or obtained, and as outlined in this Notice. The criteria used to determine our retention periods include: (i) the length of time we have an ongoing relationship with you; (ii) whether there is a legal obligation to which we are subject that affects the Personal Data; and (iii) whether retention is determined to be necessary or advisable for Roche due to applicable statutes of limitations, litigation, or other legal or regulatory obligations. Roche takes reasonable steps to dispose of Personal Data upon the expiration of retention periods taking into consideration these litigation, legal, or regulatory obligations.

In addition to the purposes listed in the chart above, we may also collect, process, disclose and store and we may have collected, processed, disclosed and stored in the past twelve months, each of the categories of Personal Data we collect for the following purposes:

For everyday business purposes, such as finance, quality control, training, reporting and analytics
To improve the content, functionality and usability of our Products and Services;
To monitor, investigate, and enforce compliance with our policies, product/service terms and conditions, and legal and regulatory requirements;
For security, credit or fraud prevention purposes;
To exercise and defend our rights and the rights of others;
To comply with our obligations to investigate and report adverse events and product complaints;
To comply with applicable laws and regulations; and
For any other purpose identified in an applicable privacy notice, click-through agreement or other agreement between you and us.

We may combine any Personal Data we collect about you with any other information we maintain for the above purposes.

De-identification of Personal Data

We may also deidentify any Personal Data we collect about you. When we do so, we take reasonable measures to ensure that the information cannot be associated with an individual or household, and we maintain and use the information in deidentified form for our business purposes. We will not attempt to reidentify the information, except that we may attempt to reidentify the information solely for the purpose of determining whether our deidentification processes satisfy applicable legal requirements. After it has been deidentified, the information is no longer Personal Data and is not subject to this Supplemental Notice.

Our Processing of Personal Data Using Automated Technologies

Additionally, we may process Personal Data via use of automated technologies, including artificial intelligence, for the purposes listed above. To the extent permitted by applicable law, we may also use Personal Data we collect to train automated technologies we use for the above purposes. We do not collect, use, or sell Personal Data for the purpose of training large language models.

However, we do not process Personal Data subject to this Supplemental Notice for profiling in furtherance of decisions that produce legal or similarly significant effects (meaning decisions that result in the provision or denial of financial or lending services, housing, insurance, education enrollment or opportunity, criminal justice, employment opportunities, health-care services, or access to essential goods or services) nor do we process Personal Data subject to this Supplemental Notice using automated decision making technologies to make significant decisions concerning consumers.

Additional Contexts Where We Disclose Personal Data

In addition, we may also disclose each category of Personal Data we collect in the following contexts:

As Part of a Business Transfer. We may use and disclose your Personal Data to facilitate a merger, consolidation, transfer of control or other corporate reorganization in which we participate, or pursuant to a financial arrangement undertaken by us and your Personal Data will be disclosed to the buyer, assignee, or transferee. If such a transfer occurs, we will seek assurances that the successor organization will treat the Personal Data we disclose to it in accordance with this Notice.
To Comply with Laws and Protect Our Rights and the Rights of Others. We may disclose Personal Data when we, in good faith, believe disclosure is appropriate to comply with the law, a court order, or a subpoena. We may also disclose Personal Data to prevent or investigate a possible crime, such as fraud or identity theft; to protect the security of our Products and Services; to enforce or apply our online Terms of Use or other agreements; or to protect our own rights or property or the rights, property, or safety of our users or others.

Sale, Sharing, and Targeted Advertising

Some U.S. Privacy Laws define “sale” broadly to mean the exchange of Personal Data for anything of value, not just money, and require us to describe certain disclosures of Personal Data as “Sales” or “Shares” where we received valuable consideration or where the disclosure is made for cross-context behavioral advertising or targeted advertising purposes. Accordingly, while we do not disclose your Personal Data in exchange for money, we may “Sell”, “Share”, and process for targeted advertising, and may have “Sold” and “Shared” in the past 12 months, Personal Data, as detailed in the above chart, for marketing, advertising and analytics purposes. For example, we may "Sell" or "Share" Personal Data to Third Party marketing and advertising and analytics providers who may process such Personal Data according to their own practices as described in their privacy policies. Retention of Personal Data

We will retain your Personal Data for as long as needed or permitted to fulfill the purpose(s) for which it was collected or obtained, and as outlined in this Notice. The criteria used to determine our retention periods include: (i) the length of time we have an ongoing relationship with you; (ii) whether there is a legal obligation to which we are subject that affects the Personal Data; and (iii) whether retention is determined to be necessary or advisable for Roche due to applicable statutes of limitations, litigation, or other legal or regulatory obligations. Roche takes reasonable steps to dispose of Personal Data upon the expiration of retention periods taking into consideration these litigation, legal, or regulatory obligations.

Your Rights

Residents who reside in states with U.S. Privacy Laws have the following rights regarding our collection and use of the Personal Data, subject to certain exceptions. Please read this section carefully as some rights vary by state. Please note that if you are a healthcare provider or business contact, this section only applies to you if you are a resident of California.

Rights That Require Verification. You may exercise the data subject rights below by calling (800) 975-7105, or by clicking here and submitting details regarding your request. Depending on applicable law in your state of residence, you may be able to authorize an agent to make a data subject request on your behalf. In such instances, authorized agents may use the same methods as you to submit the requests on your behalf. To verify your identity and protect your Personal Data, we may ask the requestor to provide information that will enable us to verify your identity in order to comply with your data subject request, such as asking your agent to provide proof of signed permission from you, or, as applicable, asking you to confirm with us directly that you provided the agent with permission to submit the request. Please be aware that we may be unable to afford these rights to you under certain circumstances, such as if we are legally prevented from doing so. We will respond to your request consistent with applicable law.
- Right to Know: You may request that we provide you with the following information about how we have handled your Personal Data:
  - The categories of Personal Data we collected about you;
  - The categories of sources from which we collect such Personal Data;

- Right to Access Specific Pieces of Personal Data and Data Portability: You may ask to obtain the specific pieces of Personal Data we have collected about you in a portable and, to the extent technically feasible, readily usable format that allows you to transmit the Personal Data to another entity without hindrance. You may not exercise this right more than two times in a calendar year.

Opt-Out Preference Signals. Certain web browsers and other programs may transmit “opt-out” signals, also called a Global Privacy Control (or GPC) signal (we refer to these as “GPC Signals”), to websites with which the browser communicates. In most cases you will need to change your web browser’s settings or add an application to your web browser to enable your browser to send a GPC Signal. Roche’s websites will recognize GPC Signals for website users differently, based on the location of the user when they access our websites. For users that access our websites from U.S. states that have laws requiring recognition of GPC Signals, we will recognize and apply the GPC Signal to inactivate all of the Cookies for that website, except for Cookies that are necessary for the website to operate (“Strictly Necessary Cookies”). This section does not apply to California, Utah, or Alabama residents, or to residents who reside in other states where the applicable U.S. Privacy Law does not give them the right to appeal Controllers’ decisions regarding data subject rights. Other Disclosures

Residents Under Age 18. Roche does not collect Personal Data directly from minors under the age of 18, and our Products and Services are not directed to or targeted to minors under the age of 18. If we collect or process Personal Data about minors under the age of 18, we obtain parental consent for the collection and processing of such Personal Data, to the extent required by applicable law. If we discover that a minor under 18 has directly provided us with their Personal Data, the minor may ask us to remove content or data that the minor has posted to the website by writing to [email protected]. Please note that your request does not ensure complete or comprehensive removal of the content or data as, for example, some of your content or data may have been reposted by another user.

Direct Marketing for California Consumers. California Civil Code § 1798.83 permits California residents to annually request certain information regarding our disclosure of Personal Data to other entities for their direct marketing purposes in the preceding calendar year. Financial Incentives for California and Colorado Consumers. We offer certain financial incentive and bona fide loyalty programs that may provide discounts or savings on products and services (“Program(s)”), that provide individuals who enroll with personalized and/or bundled product discounts, product vouchers, promotional opportunities, and/or other benefits (“Program Benefits”). Program participants opt in by signing up for a Program online.
We process and Sell your Personal Data, including information you voluntarily provide us (such as your name and email address), commercial information (such as your purchase history), information we collect automatically, and information from other sources to operate the Program and related services, including to send you Program Benefits and the other uses described in this Notice. We may disclose or Sell these categories of Personal Data to our vendors, affiliates, joint marketing partners, online advertisers, and online analytics providers.
Based on our reasonable and good faith estimate, we receive value from the Program through increased customer loyalty and increased sales, but we do not assign an actual monetary value to the Personal Data we collect in connection with the Program. Further, the precise value of your participation in the Program will vary depending on the discounts you take advantage of and purchases you make, as well as other factors. Some benefits to you may also be intangible, such as increased knowledge of and familiarity with products that you may get from participating in the Program. In general, however, we estimate in good faith that the value provided by Program Benefits to customers is equal to or greater than the value we receive from the Personal Data collected from you through the Program. We incur a variety of expenses for providing Program Benefits, including administrative and technical expenses associated with maintaining the Program and costs associated with discounts on purchases.
When exercising your rights under this Supplemental Notice, if you submit a request to delete your Personal Data, this will prevent your participation in our Programs, and we must treat such an election as a withdrawal from our Programs.
Participation in the Program and the financial incentives it provides are voluntary. By providing your Personal Data when signing up for the Program, you are affirmatively opting-in to our financial incentive Program. Disclosure for Nevada Residents.
